End User License Agreement (EULA) for ScrumTeams App
PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING SCRUMTEAMS APP. BY USING SCRUMTEAMS APP, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT.
License Grant
Subject to the terms of this Agreement, ScrumTeams grants you a limited, non-exclusive, non-transferable, revocable license to use the ScrumTeams App software on your device for personal or commercial use.
Restrictions on Use
You may not modify, reverse engineer, decompile, or disassemble the ScrumTeams App software or any part of it. You may not copy, distribute, or transfer the software to any third party.
Intellectual Property Rights
ScrumTeams and its licensors retain all rights, title, and interest in and to the ScrumTeams App software, including all intellectual property rights.
Disclaimer of Warranties
THE SCRUMTEAMS APP SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. SCRUMTEAMS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of Liability
IN NO EVENT SHALL SCRUMTEAMS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SCRUMTEAMS APP SOFTWARE, INCLUDING BUT NOT LIMITED TO LOST PROFITS OR DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES.
Termination
This Agreement will terminate immediately if you violate any of its terms. Upon termination, you must stop using the ScrumTeams App software and delete all copies of it from your device.
Governing Law and Jurisdiction
This Agreement will be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law. The parties irrevocably submit to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California.
Entire Agreement
This Agreement constitutes the entire agreement between you and ScrumTeams regarding the use of the ScrumTeams App software and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between you and ScrumTeams.
Modifications
ScrumTeams may modify this Agreement at any time by posting the modified terms on its website. Your continued use of the ScrumTeams App software after the posting of the modified terms constitutes your acceptance of the modified terms.
